How many rules of law are there?

Doanh nghiệp phải bảo đảm luôn có ít nhất một người đại diện theo pháp
luật cư trú tại Việt Nam. Khi chỉ còn lại một người đại diện theo pháp luật cư
trú tại Việt Nam thì người này khi xuất cảnh khỏi Việt Nam phải ủy quyền
bằng văn bản cho cá nhân khác cư trú tại Việt Nam thực hiện quyền và
nghĩa vụ của người đại diện theo pháp luật. Trường hợp này, người đại diện
theo pháp luật vẫn phải chịu trách nhiệm về việc thực hiện quyền và nghĩa
vụ đã ủy quyền.

Case study: Raw cashew nut

• On 7 June 2019, our client, Buyer B had a sale and purchase contract with Seller A to buy
raw cashew nut. At Clause 5 Specification of the Goods, the parties agreed that cashew
nuts must yield 47 lbs/80 kgs kernels after being processed. At Clause 10 Rejection of the
Goods and Penalties, the buyer reserved the right to reject the goods if the amount of
cashew nut kernels obtained was below 45 lbs/80 kgs. The goods would be examined by
an independent inspector C.
• When the goods arrived at the XYZ, the port of destination, the inspector C conducted an
examination as agreed in the contract. It certified that it collected 38 lbs/80 kgs of
kernels after processing the goods. When the non-conformity was found, Buyer B sent
emails to Seller A to discuss remedies, but Seller A did not respond.
• Does the amount of 38 lbs/80 kgs of cashew nut kernels obtained after being
processed constitute a fundamental breach to avoid the contract when the buyer
reserves the right to reject the goods if the given amount is less than 45 lbs/80 kgs?
