● Tính phi biên giới: các phương thức được thực hiện trong môi trường ảo

● Tính đa dạng chủ thể trong tranh chấp: có 5 bên liên quan và tham gia vào quá
trình giải quyết tranh chấp
● Tính minh bạch: các hồ sơ của ODR có thể tồn tại vĩnh viễn, làm tăng tính truy
xuất nguồn gốc
● Tính rủi ro: khó khăn trong việc xác định năng lực của các bên, xác định độ tin
cậy của tài liệu, sự chống phá, tấn công của tin tặc

Phương thức Thương lượng

• Xuất hiện sớm nhất, thông dụng và phổ biến nhất
• Các bên tranh chấp cùng nhau bàn bạc, tự dàn xếp, tháo gỡ
những bất đồng phát sinh để loại bỏ tranh chấp mà không cần bên
thứ ba
• Quá trình thương lượng không chịu sự ràng buộc của bất kỳ
nguyên tắc pháp lý hay quy định pháp luật nào
• Việc thực thi kết quả thương lượng hoàn toàn phụ thuộc vào sự tự
nguyện của mỗi bên tranh chấp

Khuôn khổ pháp luật đối với phương thức Thương lượng:
• Thứ nhất, không được trái pháp luật và trái đạo đức xã hội và

• Thứ hai, các thỏa thuận cần đảm bảo không xâm phạm lợi
ích chính đáng của các chủ thể khác.

• Do các bên thỏa thuận và được hòa giải viên thương mại làm trung

tiếng nói chung thông qua phương thức thương lượng và hòa giải

• Để điều khoản trọng tài có hiệu lực, tổ chức, cá nhân kinh doanh
hàng hóa, dịch vụ phải thông báo về điều khoản trọng tài trước khi
giao kết hợp đồng và được người tiêu dùng chấp thuận

Nguyên tắc giải quyết tranh chấp
• Trọng tài viên phải tôn trọng thỏa thuận
của các bên nếu thỏa thuận đó không vi
phạm điều cấm và trái đạo đức xã hội
• Trọng tài viên phải độc lập, khách quan và
tuân theo quy định pháp luật
• Các bên tranh chấp đều bình đẳng về
quyền và nghĩa vụ
• Giải quyết tranh chấp bằng Trọng tài được
tiến hành không công khai
• Phán quyết trọng tài là chung thẩm
Điều kiện giải quyết tranh chấp
• Tranh chấp được giải quyết bằng Trọng tài
nếu các bên có thỏa thuận trọng tài
• Thỏa thuận có thể được lập trước hoặc sau
khi xảy ra tranh chấp
• Nếu 1 bên tham gia là cá nhân mất năng lực
hành vi, thỏa thuận có hiệu lực đối với
người thừa kế hoặc người đại diện theo
pháp luật
• Nếu 1 bên tham gia là tổ chức đã chấm dứt
hoạt động, thỏa thuận có hiệu lực đối với tổ
chức tiếp nhận tổ chức đó
