Basic Process for Drafting an MoU

final formal contract. The primary difference between the two is that a letter of intent
is not binding, whereas a memorandum of understanding is considered binding and

Such a document is likely to identify any terms that need to reach resolution before

You may find the following information useful:
A drop-dead date is a provision in a contract that sets out a finite deadline which, if not met,
will automatically trigger adverse consequences. The drop-dead date is the last possible date on
which something must be completed. In most circumstances an extension is not possible. Time-
critical contracts usually contain a drop-dead date. For example, a contract for construction of an
industrial facility or infrastructure project will stipulate a definite date for the commissioning of
the former and completion of the latter. If this deadline is not met, the project contractor may
automatically be liable for such damages and penalties as are set out in the project contract.
It is also worth noting that a drop-dead date is different from a rush date. When a party in a
contract requests a rush – a deadline that is moved up from the original plan – then it is usually
upon them to provide an incentive to make the work happen. This can be an increase to the contract
value or a separate payment covered in a separate agreement to be paid out if the project or
milestone is delivered by the rush date.

STATEMENT OF INTENT
BETWEEN THE UNITED STATES DEPARTMENT OF ENERGY
AND THE UNITED KINGDOM DEPARTMENT
OF TRADE AND INDUSTRY
WHEREAS:
The United States Department of Energy (USDoE) intends to conduct research
into technologies for the treatment, packaging, and disposal of aluminum-based spent
nuclear fuel currently in its inventory and that which the Department will receive from
foreign research reactors;
The United Kingdom Department of Trade and Industry (UKDTI) is also
interested in technologies for the treatment, packaging, and disposal of aluminum-
based spent nuclear fuel.
The Participants to this Statement declare their intentions as follows:
ARTICLE 1
SCOPE
1. The Participants intend to establish a framework for cooperation in the research
and development of technologies for the treatment, packaging, and disposal of
aluminum-based spent nuclear fuel. Under this arrangement, representatives of the
Participants will meet periodically to exchange information and to consider where and
when joint activities may be of mutual benefit. Subject areas of cooperation for the
mutual benefit of the Participants may include but are not limited to:
1.1. Spent fuel transfer and handling facilities and associated equipment such as
cask handling;
1.2. Spent fuel characterization including remote handling of spent fuel, nuclear
instrumentation, criticality analysis and shielding design;
1.3. Spent fuel packaging, canning and encapsulation;
1.4. Spent fuel dry storage facilities; and

1.5. Advanced technology development for managing spent nuclear fuel and
stabilizing nuclear materials. […]
ARTICLE 2
IMPLEMENTATION
2.1. Representatives of the Participants to this Statement will meet within ninety
(90) days of the date of signature of this Statement to establish a schedule for
cooperative activities.
2.2. If the Participants agree to undertake a joint research and development project
in which the Participants agree to share the work and/or costs, or which would result in
the creation of intellectual property, the Participants will conclude an appropriate
agreement. Each such agreement will include appropriate provisions for carrying out
the joint project and will cover such matters as technical scope, intellectual property,
management, costs, cost sharing and schedule. <…>
ARTICLE 3
GENERAL PROVISIONS
3.1. The Participants understand that, except when otherwise agreed in writing, all
costs resulting from cooperation under this STATEMENT OF INTENT will be borne
by the Participant that incurs them. It is also understood that the ability of each
Participant to carry out its role under this Statement is subject to the availability of
appropriated funds.
3.2. There shall be no obligation for either USDoE or UKDTI to provide any
information which is considered to be commercially valuable or sensitive. If either
Participant decides to supply such information, the Participant may subject such
information to any reasonable restrictions it wishes to impose. <…>

WHAT IS A TREATY?
The term treaty describes an international agreement concluded in writing between
states which creates rights and obligations in international law. Treaties are known by
a variety of names, for example agreement, convention, protocol, treaty etc. They may
be in the form of a single instrument with numbered articles or in the form of an
exchange of notes. There can also be treaties between a state and an international
organisation.
WHAT IS AN MoU?
An MoU records international “commitments”, but in a form and with wording which
expresses an intention that it is not to be binding as a matter of international law. An
MoU is used where it is considered preferable to avoid the formalities of a treaty – for
example, where there are detailed provisions which change frequently or the matters
dealt with are essentially of a technical or administrative character; in matters of
defence or technology where there is a need for such documents to be classified; or
where a treaty requires subsidiary documents to fill out the details. Like a treaty, an
MoU can have a variety of names and can also be either in the form of an exchange of
notes or a single document. However, the formalities which surround treatymaking do
not apply to it and it is not usually published. Confusingly some treaties are called
memoranda of understanding.
HOW DO YOU DISTINGUISH AN MoU FROM A TREATY?
The predetermined method of distinguishing an MoU from a treaty is by the terms in
which they are written. The key difference between MoUs and treaties is whether or
not there is an intention to create legally binding obligations. It is the international
practice to show clearly by the form of the document and its terminology the intention
either to create legally binding obligations, or not, i.e. either a treaty or an MoU. Thus,
in order to ensure that MoUs are not worded in such a way as to amount to treaties care
should be taken to avoid the use of “treaty language”. Guidance on the terminology to
be used (and to be avoided) as well as on the form is given below.

Although an MoU is not legally binding it should be no less carefully drafted than if it
were a treaty, given that it is always the intention to perform all HMG’s (Her Majesty’s
Government) commitments, whether legally binding or not. As with treaties, all draft
MoUs should be sent to the relevant FCO (Foreign and Commonwealth Office)
department for clearance by their legal adviser, and foreign language versions should
be checked. Moreover, there should be the same level of inter-departmental
consultation as for treaties.
TERMINOLOGY TO BE USED IN THE DRAFTING OF MoUs
AND OTHER ARRANGEMENTS TO INDICATE THAT THEY
ARE NOT TREATIES
The document should not be titled or referred to as an Agreement. The word ‘agree’
and its derivatives should be avoided. Say instead the “Participants enter into
arrangements” or “have reached the following understandings”.
The provisions should be cast as expressions of intent rather than as obligations in order
to avoid it being a treaty. Certain words should never be used. Some alternatives are
suggested below. Further advice is available from Treaty Section.

This Memorandum will come into operation on signature and will continue in
operation until terminated by either participant giving six months’ written
notice to the other.

welcoming the growing possibilities for establishing close cooperation between
scientists and research centers and laboratories in other countries,
taking into consideration the presence in Ukraine of the unique conditions within
the exclusion zone following the accident at the Chornobyl Nuclear Power Plant
(“ChNPP”) and willing to create an effective organizational mechanism that would
facilitate their broad utilization by the international scientific community […]

1. The Europe Directorate of the Foreign and Commonwealth Office presents its
compliments to the Embassy of Ireland in London and has the honour to refer to
the Agreement between the Government of the United Kingdom of Great Britain
and Northern Ireland and the Government of Ireland establishing the Independent
Monitoring Commission, signed at Dublin on 25 November 2003 (“the IMC
Agreement”).

2. The Foreign and Commonwealth Office also has the honour to inform the Embassy
of Ireland of the intention of the Government of the United Kingdom of Great
Britain and Northern Ireland to terminate the IMC Agreement in accordance with
Article 16 of the IMC Agreement with effect from 31 March 2011.
3. The Foreign and Commonwealth Office also has the honour to inform the Embassy
of Ireland that subject to the Government of Ireland agreeing to the same the
Government of the United Kingdom of Great Britain and Northern Ireland shall
extend the non-disclosure obligations under Article 13 (1) of the IMC Agreement
with the effect that members of the Commission, staff of the Commission, persons
carrying out work for or giving advice to the Commission and agents of the
Commission shall continue to be bound not to disclose any information obtained in
the course of the performance of their functions as such members or persons.
Domestic law remedies for breach of the non-disclosure obligations shall also
remain in force, including under the Officials Secrets Act 1989 as signed by all
Independent Monitoring Commission members and staff.
4. The Foreign and Commonwealth Office also has the honour to inform the Embassy
of Ireland that subject to the Government of Ireland agreeing to the same the
Government of the United Kingdom of Great Britain and Northern Ireland shall
extend privileges and immunities conferred or provided (pursuant to Article 11 of
the IMC Agreement) by domestic legislation on the Commission, its staff and any
agents or persons who have carried out work for or given advice to the Commission
in respect of functions they carried out on or before 31 March 2011.
5. The Foreign and Commonwealth Office also has the honour to inform the Embassy
of Ireland that subject to the Government of Ireland agreeing to the same the
Government of the United Kingdom of Great Britain and Northern Ireland shall
continue to respect the inviolability of the official archives of the Independent
Monitoring Commission. This is subject to any waiver of that inviolability by either
Government with the other.
6. The Foreign and Commonwealth Office would be grateful for confirmation from
the Embassy of Ireland that the Government of Ireland agrees to terminate the IMC
Agreement in accordance with Article 16 of the IMC Agreement with effect from
31 March 2011 and that it agrees to the same obligations as the Government of the
United Kingdom of Great Britain and Northern Ireland as set out in paragraphs 3-
5 of this Note.
7. If this is acceptable to the Government of Ireland, it is proposed that this Note
together with the Note in reply from the Embassy of Ireland shall constitute an
agreement between the two Governments in these matters.

Treaties can be defined as agreements which establish binding obligations between the
parties, usually though not exclusively, states, and whose terms and provisions are
governed by international law. While treaties in the main take a written form, oral
exchanges or declarations may give rise to commitments binding on the state or parties
concerned.
The Vienna Convention on the Law of Treaties defines treaties in terms of states, in the
following way:
The wider definition, however, includes agreements between states and international
organisations and between international organisations inter se, although for example
McNair excluded agreements not in a written form.
The term ‘treaty’ has in fact come to refer to a wide range of instruments. In its advisory
opinion concerning the Customs Regime between Germany and Austria, the Permanent
Court of International Justice (by a resolution by the League of Nations on 18 April
1946, the Court ceased to exist being replaced by the International Court of Justice)
noted inter alia that:
Two points need to be mentioned therefore with respect to the definition of treaties. In
the first place, not all instruments of an international nature are intended to have an
obligatory character, as in the case of certain forms of declarations, which may set out
aspects of policy or principles. Secondly, the requirement that the agreement be
governed by international law serves to differentiate a treaty from other agreements
between states or other subjects of international law, which are governed not by

international law per se but by the national law of one of the parties (or mutually agreed
national law of a third party).
In international relations treaties are the instruments for many kinds of legal acts
ranging from bilateral or multilateral agreements on trade, customs, the creation of
international organisations, to the ending of a military conflict and redistribution of
territory.
Treaties in the main are concluded in the following forms:
a) heads of state;
b) interstate;
c) intergovernmental.
The choice of the type of party may depend on political considerations, such as the
degree of symbolic or political importance attached to the matter and constitutional
requirements. The choice of form, however, does not affect the binding nature of the
obligations.
Treaties between states are less formal, and more frequently used than those in heads
of state form. Traditionally, treaties were concluded in heads of state form, but in
modern practice treaties can be concluded in heads of state, interstate and
intergovernmental form. When used in interstate form, the expression ‘contracting
parties’ or ‘states parties’ is normally used in the text rather than ‘high contracting
parties’, in the heads of state form. <…>
Treaties may be concluded bilaterally or multilaterally. The decision to use the
designation ‘treaty’, rather than, for example, ‘agreement’ depends very much on
individual state practice, assessments of the issue and the ‘style’ of conducting external
relations.
Treaties exist in a number of forms apart from the discussed hereinafter.
Differences in title derive from a number of factors such as the political content in
which the instrument was drafted, the type of subject-matter and others such as the
institutional ‘style’ of the instruments produced by the organisation (e.g. international
labour conventions).
Among other forms of treaties are charter (e.g. United Nations Charter), pact which
is used often for an alliance or solemn undertaking. Other forms of treaties are
constitution (e.g. Constitution of the United Nations Educational, Scientific and
Cultural Organisation (UNESCO)) and statute, used to designate an instrument which
regulates an international institution or regime (e.g. Statute of the Council of Europe,
Statute of the International Court of Justice).

Plurilateral Agreement
A plurilateral agreement is a treaty between more than two, but not very many,
countries. There is no set number that differentiates a plurilateral agreement from a
multilateral agreement, though a plurilateral agreement has fewer parties. For instance,
the World Trade Organization considers agreements between more than two members
to be plurilateral, while agreements between all WTO members are multilateral.

➢ outside the WTO – RTAs (Regional Trade Agreements) or FTAs (Free Trade
Agreements) or PTAs (Preferential Trade Arrangements);
➢ inside the WTO – Tokyo “Codes”, GPA (Agreement on Government Procurement),
ITA (Information Technology Agreement);
➢ benefits extended to all Members (MFN – most-favoured-nation), whether or not
they participate while obligations bind only the initial members and others as they
join;
➢ benefits accrue only to participants who also undertake binding commitments.
Plurilateralism fragments and disrupts the larger multilateral process, including
multilateral cooperation, on different issues. Furthermore, he continued, plurilateral
agreements can violate the multilateral principles of universality, inclusiveness and
transparency. These types of agreements imply a threat to the conclusion of the Doha
Development Agenda (DDA), the “single undertaking” principle, and they favour the
consolidation of RTA commitments and policy harmonization, sometimes going
beyond the needs of some members.
Ambassador Agah concluded that any strategy for developing countries and least-
developed countries (LDCs) vis-à-vis plurilateral agreements should support the
following ideas:
➢ plurilaterals must preserve the multilateral character of the WTO;
➢ plurilaterals cannot modify existing multilateral rules and disciplines, or
introduce new obligations in any sector or agreement;
➢ MFN application of all benefits;
➢ an “opt in” and “opt out” approach;

The clause permits the agreement to be executed in multiple, identical copies, allowing
the parties to sign the document in the different locations. However, it does require that
the documents are identical; and arguably the execution of a signature page does not
constitute an agreement between the parties.
There are two main rationales for the clause. The first is that the counterpart clause
makes it clear that each party need not sign the same copy of the document in order to
have a legally enforceable agreement.
The second rationale, taken from The American Bar Foundation’s Commentaries on
the Model Debt Indenture Provisions, states that “it is highly desirable to include a
provision relating to counterparts in order to avoid any problem as to which of the
several signed copies of the Indenture is the original”.

This Agreement may be executed in any number of counterparts and by
the parties hereto in separate counterparts, each of which when so
executed shall be deemed to be an original and all of which taken
together shall constitute one and the same agreement.

What is a ‘Loan’?
A loan is the act of giving money, property or other material goods to another party in
exchange for future repayment of the principal amount along with interest or
other finance charges. A loan may be for a specific, one-time amount or can be
available as an open-ended line of credit up to a specified limit or ceiling amount.
The terms of a loan are agreed to by each party in the transaction before any money
or property changes hands. If the lender requires collateral, that is outlined in the
loan documents. Most loans also have provisions regarding the maximum amount of
interest, as well as other covenants such as the length of time before repayment is
required. A common loan for American consumers is a mortgage.
Loans can come from individuals, corporations, financial institutions, and
governments. They offer a way to grow the overall money supply in an economy as
well as open up competition and expand business operations. The interest and fees
from loans are a primary source of revenue for many financial institutions such as
banks, as well as some retailers through the use of credit facilities.
Difference between Secured Loans and Unsecured Loans

Loans can be secured or unsecured. Mortgages and car loans are secured loans, as
they are both backed or secured by collateral. Loans such as credit cards and
signature loans are unsecured or not backed by collateral. Unsecured loans typically
have higher interest rates than secured loans, as they are riskier for the lender. With
a secured loan, the lender can repossess the collateral in the case of default. However,
interest rates vary wildly depending on multiple factors.
Revolving vs. Term Loans
Loans can also be described as revolving or term. Revolving refers to a loan that can
be spent, repaid and spent again, while term refers to a loan paid off in equal monthly
installments over a set period called a term. A credit card is an unsecured, revolving
loan, while a home equity line of credit is a secured, revolving loan. In contrast, a car
loan is a secured, term loan, and a signature loan is an unsecured, term loan.
How Do Interest Rates Affect Loans?
Interest rates have a huge effect on loans. In short, loans with high interest rates have
higher monthly payments or take longer to pay off than loans with low interest rates.
For example, if a person borrows $5,000 on an installment or term loan with a 4.5%
interest rate, he faces a monthly payment of $93.22 for the next five years. In contrast,
if the interest rate is 9%, the payments climb to $103.79.
Similarly, if a person owes $10,000 on a credit card with a 6% interest rate and he
pays $200 each month, it will take him 58 months or nearly five years to pay off the
balance. With a 20% interest rate, the same balance and the same $200 monthly
payments, it will take 108 months or nine years to pay off the card.
What is ‘Collateral’?
Collateral is a property or other asset that a borrower offers as a way for a lender to
secure the loan. If the borrower stops making the promised loan payments, the
lender can seize the collateral to recoup its losses. Since collateral offers some
security to the lender should the borrower fail to pay back the loan, loans that are
secured by collateral typically have lower interest rates than unsecured loans. A
lender’s claim to a borrower’s collateral is called a lien.
The type of collateral for a loan may be predetermined based on the loan type, such
as with a mortgage or an auto loan, or may be flexible, such as a collateralized

personal loan. For a loan to be considered secure, the value of the collateral must meet
or exceed the amount remaining on loan.
Secured loans are less risky to lenders since the property gives the borrower a
compelling reason to continue payment. If a borrower fails to make necessary
payments, the lending institution can repossess the property to cover the remainder
of the loan.
Collateral in Margin Trading
In margin trading, the securities in your brokerage account act as collateral in case
of a margin call. Similar to the security offered by loan collateral in the event a
borrower becomes unable to make payments, the value of the securities functions as
assurance that the institution can recover funds.

Article 9
1. The Community shall be based upon a customs union which shall cover all trade in
goods and which shall involve the prohibition between Member States of customs
duties on imports and exports and of all charges having equivalent effect, and the
adoption of a common customs tariff in their relations with third countries.
2. The provisions of Chapter 1, Section 1, and of Chapter 2 of this Title shall apply to
products originating in Member States and to products coming from third countries
which are in free circulation in Member States.
Article 10
1. Products coming from a third country shall be considered to be in free circulation
in a Member State if the import formalities have been complied with and any
customs duties or charges having equivalent effect, which are payable, have been
levied in that Member State, and if they have not benefited from a total or partial
drawback of such duties or charges.
2. The Commission shall, before the end of the first year after the entry into force of
this Treaty, determine the methods of administrative cooperation to be adopted for
the purpose of applying Article 9 (2) taking into account the need to reduce as much
as possible formalities imposed on trade.

Обсяг статусу найбільшого сприяння визначається конкретно в кожному
міжнародному економічному договорі. Застосовується метод перелічення
випадків (сфер, товарів тощо), коли застосовується принцип найбільшого
сприяння. В окремих випадках зазначений принцип фіксується невизначено
широко.
Практиці укладення міжнародних економічних договорів відомі й винятки щодо
застосування режиму найбільшого сприяння. Уявімо собі сусідні держави А і Б.
Часто такі держави запроваджують пільговий економічний режим у
прикордонних смугах, яким користуються лише юридичні та фізичні особи, які
перебувають (проживають) у таких смугах. Третя держава В у нашому прикладі
не є суміжною. Отже, коли держави А і В укладатимуть між собою
зовнішньоекономічну угоду, то суб’єктам держави В можуть не надаватися такі
пільги, які держава А надає суб’єктам з прикордонної зони держави Б.
На обсяг режиму найбільшого сприяння впливає належність до митного союзу,
до групи країн, що розвиваються, тощо.

ARBITRATION AGREEMENT
Section 1
Any question in the nature of a civil matter which may be settled by agreement, as well
as any question of compensation for damage resulting from a crime may, when a
dispute has arisen with regard thereto, be referred by agreement between the parties to
the decision of one or more arbitrators. An arbitration agreement relating to any such

question may also have reference to future disputes arising from particular legal
relationship specified in the agreement.
Arbitrators may not assume jurisdiction in respect of any question which is the subject

not prevent arbitration proceedings if notice of withdrawal has been given to the
presiding judge.
Section 2
If the arbitration agreement does not reserve the right of the parties to appeal from the
award, they will be deemed to have consented to abide by it.
The present Act shall not apply to an arbitration agreement which provides for a right
of appeal.
Section 3
If, after a request has been made for the application of the arbitration agreement, that
request is rejected by a party, or a party fails in his duty to appoint an arbitrator, and
the other party refers to bringing the dispute before a court of law rather than insisting
on an arbitration award, then the arbitration agreement shall be no bar to the jurisdiction
of the court over the dispute.

Section 6.01
All technical information supplied by (name of company) including, but not
limited to, processes, formulas and recipes used in the manufacture of cigarettes
hereunder and changes in the manufacturing and in the processing and in the packaging
and package design of cigarettes manufactured by (name of company) under the
Licensed trademarks shall become and remain the property of (name of company),
subject to the duration of this Agreement only to the licensees granted hereunder, (name
of company) shall keep the technical information confidential and shall not reveal any
aspect thereof to any person other than its own employees and only to the extent

визначених за взаємною згодою сторін з урахуванням вимог законодавства
України. У випадках, передбачених ліцензійним договором, може бути
укладений субліцензійний договір, за яким ліцензіат надає субліцензіату
субліцензію. У цьому разі відповідальність перед ліцензіаром за дії субліцензіату
несе ліцензіат, якщо інше не передбачено ліцензійним договором. Ліцензійний
договір укладається на строк, що повинен спливати не пізніше спливу строку
чинності виключного майнового права на визначений у договорі об’єкт.
Передача ліцензії не підлягає обов’язковій державній реєстрації, хоча така
реєстрація може бути здійснена на вимогу ліцензіару або ліцензіату. Відсутність
такої реєстрації не впливає на чинність наданих прав.
У ліцензійному договорі визначаються:
• вид ліцензії;
• сфера використання об’єкта права інтелектуальної власності (конкретні
права, що надаються за договором, способи використання зазначеного
об’єкта, територія та строк, на які надаються права тощо);
• розмір, порядок і строки виплати платні за використання об’єкта права
інтелектуальної власності;
• фіксований платіж, або паушальний платіж (якщо договір про видання або
інше відтворення твору, то має бути встановлений максимальний тираж
цього твору);
• періодичні виплати (роялті) у вигляді певної частки від обумовленої
сторонами бази роялті;
• комбіновані платежі;
• інші умови, котрі сторони вважають за потрібне включити у договір.
Строк дії ліцензійного договору повинен спливати не пізніше строку дії
майнових прав ліцензіара на даний об’єкт інтелектуальної власності.
